1. Acceptance of Terms
By creating an account or using Keepsake, you agree to these Terms & Conditions.
If you do not agree, please do not use the service.
2. About Keepsake
Keepsake is a map-based service that enables users to save, organize, manage, and share places and related information.
The service is currently provided in beta form and may evolve over time.
3. Eligibility
You must be legally capable of entering into a binding agreement under the laws applicable to you.
4. User Accounts
You are responsible for:
- Maintaining the security of your account
- Protecting your login credentials
- All activity occurring under your account
You must provide accurate information when registering.
5. User Content
You retain ownership of any content you submit to Keepsake, including:
- Notes
- Ratings
- Tags
- Lists
- Other user-generated content
You grant Keepsake a limited, worldwide, non-exclusive license to store, process, display, transmit and reproduce such content solely as necessary to operate, maintain and improve the service.
6. Shared Links
Keepsake may allow you to create public sharing links.
Anyone who obtains such a link may be able to view the content associated with it.
You are responsible for deciding what content to share and for any consequences arising from the publication of such content.
7. Place Information
Place information may be obtained from third-party providers, including Google services.
Keepsake does not guarantee the accuracy, completeness, availability, or continued validity of place-related information.
Google Maps, Google Places and related data may be subject to additional terms and policies imposed by Google.
8. Intellectual Property
Keepsake, including its software, design, branding, logos, features, user interface, databases and related materials, is owned by MCapital S.r.l. or its licensors and is protected by applicable intellectual property laws.
These Terms do not grant users any ownership rights in the service or its underlying technology.
9. Limited License
Subject to these Terms, MCapital S.r.l. grants users a limited, non-exclusive, non-transferable and revocable license to access and use Keepsake solely for personal and lawful purposes.
Users may not:
- Copy, modify or create derivative works of the service
- Reverse engineer or attempt to extract source code
- Circumvent security measures
- Use the service for unlawful purposes
except where expressly permitted by applicable law.
10. Feedback
Users may voluntarily provide suggestions, ideas, comments, feedback or improvement proposals regarding the service.
MCapital S.r.l. may use such feedback without restriction and without any obligation of compensation, attribution or acknowledgment.
11. Acceptable Use
You agree not to:
- Use the service unlawfully
- Attempt unauthorized access
- Interfere with the operation of the platform
- Upload harmful, malicious or fraudulent content
- Abuse or exploit the service
- Use automated systems to access the service in a manner that may impair its operation
12. Beta Service
Keepsake is currently provided as a beta service.
Features may change, be modified, interrupted or removed at any time.
Certain functionality may be incomplete, experimental or subject to errors.
Users acknowledge that bugs, temporary unavailability, data inconsistencies or unexpected behavior may occur.
13. Availability
The service is provided on an “as is” and “as available” basis.
MCapital S.r.l. does not guarantee uninterrupted availability, error-free operation, or that defects will be corrected within any specific timeframe.
14. Limitation of Liability
To the maximum extent permitted by applicable law, MCapital S.r.l. shall not be liable for:
- Loss of data
- Loss of profits
- Loss of business opportunities
- Service interruptions
- Indirect damages
- Incidental damages
- Consequential damages
arising out of or related to the use of Keepsake.
Nothing in these Terms excludes liability that cannot be excluded under applicable law.
15. Termination
MCapital S.r.l. may suspend or terminate access to the service if:
- These Terms are violated
- The service is abused
- Access creates security, operational or legal risks
Users may stop using the service at any time.
16. Changes to the Service and Terms
We may modify, suspend or discontinue any part of the service at any time.
We may also update these Terms from time to time.
Continued use of Keepsake after changes become effective constitutes acceptance of the updated Terms.
17. Governing Law
These Terms shall be governed by the laws of Italy.
18. Jurisdiction
Any dispute arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the courts of Milan, Italy.
